Rule
The Banking Law does not require a TRNC bank's founders or shareholders to be TRNC citizens, and does not cap foreign ownership at any percentage. Founder/qualified-shareholder conditions are fit-and-proper criteria (no serious criminal record, financial power/reputation/competence) applied equally; for founders who are not TRNC citizens and/or not resident in the TRNC, the Central Bank additionally takes the law of their home country into account. A foreign bank may also establish a TRNC branch directly, subject to a permission/vetting regime (not banned from banking at home, a positive opinion from the home regulator, and standard establishment conditions) rather than a requirement to incorporate locally with TRNC-citizen ownership.[1]
Exceptions
- This is a NEGATIVE finding: no TRNC-citizenship or ownership-percentage restriction was found in the Banking Law's 76 articles and provisional rules, read in full. It is not proof no such restriction exists anywhere — a large amount of operational detail is delegated to Central Bank Notifications (tebliğ), not reviewed in this pass.
- A residency requirement does apply to specific STAFF roles — managers other than board-only members must be TRNC-resident and work full-time (Art. 20(1)(C)) — this is a role/residency requirement, not a shareholder-nationality requirement, and must not be conflated with one.
- This Rule does not address minimum capital (TRY 20,000,000, Art. 7(3)) or any operational licensing detail beyond the specific ownership/nationality question.
